1. ACCEPTANCE OF TERMS

Welcome to MamaSave. This Terms of Service agreement (“Agreement” or “Terms”) constitutes a legally binding contract between you (“User”, “Member”, “Contributor”, or “you”) and PEARL SYSTEMS LIMITED (“the Company”, “we”, “us”, or “our”), the legal owner and operator of the proprietary digital financial inclusion brand and platform MamaSave (accessible via mamasave.ng and our associated mobile applications).

By creating an account, accessing our portal, or engaging our field collection agents, you explicitly acknowledge that you have read, understood, and agree to be bound by these Terms, alongside our Privacy Policy. If you do not agree to these terms, you must immediately cease all access to the platform and services.

2. ELIGIBILITY AND ACCOUNT REGISTRATION

To register an account and utilize MamaSave services, you must satisfy the following conditions:

  • You must be an individual resident in the Federal Republic of Nigeria, or a legally registered micro-enterprise operating within a designated local market zone.

  • You must be at least 18 years of age and possess the legal capacity to enter into binding financial contracts.

  • You must provide true, accurate, current, and complete registration metadata, including your full legal name, an active Nigerian mobile phone number, and any necessary government-issued identifiers.

  • You agree that you will not open or maintain more than one active user account on the MamaSave platform. Multi-account mapping to a single individual or device configuration is treated as a material safety violation and may trigger automatic suspension.

3. THE MAMASAVE PLATFORM CAPACITY

MamaSave is a proprietary digital financial ledger, micro-savings tracking tool, and community crowdfunding software pipeline. You explicitly acknowledge and agree that:

  • Pearl Systems Limited is a financial technology company, not a commercial bank or a licensed deposit money bank (DMB).

  • All core banking services, dedicated virtual account (DVA) management, fund collections, and settlement infrastructure are provided exclusively through our licensed partner Commercial Banks, Microfinance Banks (MFBs), and Payment Service Providers (PSSPs) fully authorized by the Central Bank of Nigeria (CBN).

  • Funds saved within the MamaSave ecosystem are securely held by our licensed partner institutions and are subject to standard protection guidelines enforced under Nigerian financial laws.

4. MICRO-SAVINGS CYCLE AND CONTRIBUTIONS POLICY

  • Daily Contribution Rules: Users may elect to participate in periodic savings plans (e.g., daily market squares, fixed goals, or group cycles). Contributions are logged electronically through automated bank transfers to your assigned DVA or via physical cash handling through our authenticated Field Collection Agents.

  • Agent Ledger Tracking: If you hand physical cash to a MamaSave Field Collection Agent, you must ensure the agent instantly logs the transaction into their application interface in your presence. Your transaction is only legally validated once you receive an automated SMS or App push notification receipt triggered from our centralized server. Pearl Systems Limited accepts no liability for unlogged cash handovers that occur outside the verified software app framework.

  • Payouts & Cycles Completion: Withdrawals and payout distributions are executed strictly according to the specific rules of your selected savings plan. Early termination or premature liquidation of an active savings cycle may attract a standard administrative break fee or forfeiture of accrued yield bonuses as clearly specified before locking the plan.

5. “MAMA CAUSE” CROWDFUNDING MODULE

The MamaSave app provides a community funding framework (“Mama Cause”) allowing users to pool resources for communal development, emergency relief, or individual market peer support.

  • By contributing to a “Mama Cause” link, you understand that your contribution is entirely voluntary and final.

  • Funds raised through a community link will be paid out cleanly to the verified designated destination wallet established during the pool creation.

  • The Company makes no representations regarding the moral character, purpose, or performance of individual community campaign owners, and users are encouraged to verify peer authenticity before sending funds.

6. BANK VERIFICATION NUMBER (BVN) AND IDENTITY SANITIZATION

In alignment with the Central Bank of Nigeria’s Know-Your-Customer (KYC) and Anti-Money Laundering (AML/CFT) directives, the Company utilizes third-party identity validation Application Programming Interfaces (APIs) to cross-reference your submitted profile details against your Bank Verification Number (BVN) database record.

  • By inserting your BVN on MamaSave, you grant explicit, lawful permission to the Company to pull validation metadata to safeguard your account against identity theft.

  • Pearl Systems Limited will never use your BVN for unauthorized purposes, disclose it to unauthorized entities, or alter your commercial banking records.

7. PROHIBITED PLATFORM BEHAVIORS

You explicitly pledge that you will not utilize MamaSave to execute or support any of the following unauthorized maneuvers:

  • Depositing or sweeping funds derived from illegal sources, street scams, fraud, or extortion networks.

  • Sharing your account credentials, transactional passwords, or secret security PIN codes with anyone, including MamaSave field agents or corporate support staff.

  • Interfacing with the platform using automated scrapers, malicious scripts, emulators, or multi-account spoofers designed to bypass our device limitation protocols.

  • Discharging verbal abuse, physical harassment, or intimidation toward our field collection agents or internal helpline workers.

Violation of this section constitutes a zero-tolerance breach and will lead to instantaneous account freezing, forfeiture of service access, and a formal security report forwarded to the Economic and Financial Crimes Commission (EFCC) or the Nigeria Police Force (NPF).

8. INDEPENDENT SYSTEM MASTER SWITCH FOR CREDIT OPERATIONS

You acknowledge that the Company operates as a pure daily savings, wallet management, and wealth cooperative engine.

  • While the core platform architecture contains inactive code modules relating to digital money lending and cash advances, all credit operations are entirely managed by a global administrative system toggle switch.

  • Unless explicitly enabled via the Super Admin control panel following the receipt of all local state moneylender or federal regulatory certificates, all lending features are structurally decoupled and inaccessible. The presence of hidden, disabled credit layouts in the software framework creates no active lending contract or credit obligation until the toggle is officially deployed online.

9. SERVICE INTERRUPTIONS AND LIMITATION OF LIABILITY

  • Technical Operational Availability: While the Company uses enterprise-grade cloud server arrays to run mamasave.ng and process transaction webhooks, we do not guarantee uninterrupted, 100% server uptime. Maintenance updates, network route drops by commercial telecom aggregators, or banking switch downtimes may cause momentary delays in balance updates.

  • Liability Cap: To the maximum extent permitted by the laws of the Federal Republic of Nigeria, Pearl Systems Limited, its directors, employees, or partners shall not be held liable for any indirect, incidental, special, or consequential financial damages, loss of profits, market revenue, or savings data caused by platform latency, transaction delays by external banking networks, or user-side negligence (such as a compromised device or leaked PIN).

  • In all events, our cumulative maximum liability to any individual user for any verified loss arising directly from our platform calculation errors shall be capped at the total amount of service fees paid by that specific user to MamaSave during the three (3) months preceding the incident.

10. INTELLECTUAL PROPERTY PRIVILEGES

The branding name “MamaSave”, the domain mamasave.ng, our application software, logos, user interface animations, code scripts, graphic designs, database architectures, and daily morning briefing formats are the exclusive proprietary intellectual property of Pearl Systems Limited. Nothing in this Agreement grants any user a license, title, or right to replicate, copy, modify, distribute, or reverse-engineer our platform layout or source code without our explicit written consent.

11. INDEMNIFICATION

You agree to indemnify, defend, and hold harmless Pearl Systems Limited, its subsidiary brands, partner financial institutions, directors, and field officers from and against any third-party claims, liabilities, operational damages, losses, or legal costs arising out of your misuse of the platform, violation of these Terms, or infringement of data privacy rights belonging to any other user.

12. MANDATORY SYSTEM NOTIFICATION & OPERATIONAL CUTOFFS

  • The 7:00 AM Agent Routine: Field Collection Agents will receive an automated Daily Briefing compiling market zone expectations at approximately 7:00 AM West Africa Time (WAT).

  • Daily Settlement Cutoff: All physical cash matching logged digital requests must be fully routed and deposited into the Company’s settlement vaults before the daily operational cutoff at 5:00 PM WAT. Late physical transactions will resolve on the subsequent business cycle.

13. GOVERNING LAW AND RESOLUTION OF REPROACHES

  • Governing Law: These Terms shall be governed, examined, and enforced exclusively in accordance with the federal laws of the Federal Republic of Nigeria.

  • Internal Resolution: In the event of a dispute or ledger disagreement, you pledge to first lodge a formal dispute request to compliance@mamasave.ng. The parties shall spend a minimum of fourteen (14) business days attempting to resolve the grievance through mutual amicable mediation.

  • Judicial Recourse: Where amicable mediation fails, the grievance shall be submitted to the exclusive jurisdiction of the High Court within the state where Pearl Systems Limited operates its primary corporate headquarters in Nigeria.

14. SEVERABILITY AND ENTIRETY

If any provision of these Terms is deemed unlawful, void, or unenforceable by a court of competent jurisdiction, that specific provision shall be severed without altering the legality, validity, and operational enforceability of the remaining provisions. This document represents the absolute entire agreement between you and Pearl Systems Limited regarding the usage of the MamaSave app.
